Who we are and what this covers

These Terms of Service govern your access to and use of Zendu. Zendu provides AI-powered front-desk and customer-communication software for clinics, operated from the Netherlands. By accessing or using the service, you ("the clinic") agree to be bound by these terms. 

The service

Zendu answers and manages enquiries across website chat, WhatsApp and phone, including AI-powered handling of phone calls by an AI voice agent. It qualifies and captures leads, routes enquiries to a consultation through the clinic's own booking system, follows up with leads who have not yet booked, escalates to clinic staff when human attention is needed, and provides reporting to the clinic. Zendu is provided on a subscription basis as a managed service.

What the service is not

It does not provide medical, clinical or treatment advice, and does not carry out clinical assessment or screening. It directs enquiries toward a consultation, where the clinic's qualified staff handle clinical matters. It is a tool to assist the clinic's front-desk and lead handling; it does not replace the clinic's staff or its booking system.

The clinic's responsibilities

The clinic is responsible for the accuracy, completeness and legality of the information it provides (services, prices, hours, policies and other content), and confirms that the information it provides and its use of the service comply with all laws and regulations that apply to it, including advertising and data-protection rules in its jurisdiction. The clinic is responsible for obtaining any consents needed for the data it asks us to process.

Data protection

We process personal data on the clinic's behalf as described in the Privacy Policy, and the clinic and Zendu will enter into a separate Data Processing Agreement. The clinic is the controller and Zendu the processor for personal data handled through the service.

No guaranteed results

We strive to provide a reliable and effective service. However, we cannot guarantee any specific business results, including appointment bookings, patient growth, or revenue. While we work to keep the service available and functioning properly, occasional interruptions, errors, or technical issues may occur.

Limitation of liability

To the fullest extent permitted by law, Zendu is not liable for indirect, incidental or consequential losses, or lost profits, revenue or business. Our total liability is limited to the amount the clinic paid for the service in the period giving rise to the claim.

Intellectual property

Zendu retains all rights to its software, platform and technology. The clinic gets a limited right to use the service during the subscription and acquires no ownership of the software.

Confidentiality

Each party keeps the other's confidential information confidential and uses it only as needed.

Term and termination

Provided on a subscription basis; either party may end it in line with the agreed subscription terms. We may suspend or end the service for non-payment or breach.

Governing law

Governed by the laws of the Netherlands, with disputes subject to the competent courts of the Netherlands.
